1. Acceptance of Terms

1.1 The website www.boundfor.co.nz (Website), the “BoundFor” search and comparison platform available on the website (Platform) and all associated services (Services) are owned and operated by BoundFor Limited (BoundFor, we, us, our).

1.2 The individual accessing and/or using the Website, the Platform or our Services (user, you, your) agrees to be bound by and comply with these terms of service (Terms) together with our Privacy Policy and any other document referenced in these Terms.

1.3 If you do not agree to these Terms, our Privacy Policy or any other document referenced in these Terms, you must not use the Website, the Platform or our Services.

2. Amendments to Terms

2.1 We may amend these Terms from time to time. Any amendments will take effect when we publish the updated version on the Website. You are responsible for ensuring that you are familiar with the latest Terms by checking the Website regularly. If you do not wish to be bound by the amended Terms, you must cease all access and use of the Website, Platform and our Services. Your continued access or use of the Website, Platform or Services after the revised Terms become effective constitutes your agreement to be bound by the revised Terms.

3. Platform and Service Features

3.1 The Platform enables users to discover, research and compare New Zealand schools. The Platform aggregates and presents information about schools, including (without limitation):

  • school profiles and key characteristics;
  • enrolment and demographic indicators;
  • school zone and eligibility information;
  • commute analysis;
  • summaries of publicly available Education Review Office (ERO) reports and related materials;
  • comparative insights and downloadable reports.

3.2 The Platform combines publicly available information, licensed third party data and AI-generated data to present information to you in an accessible format.

3.3 Except for data which is subject to open licences, you may only use the information provided or generated by us through the Platform and our Services for your own personal purposes. Your use of third-party content remains subject to the terms of the applicable licence.

4. Nature of Information

4.1 The information made available through the Website and Platform is general information only. BoundFor does not provide educational, legal, financial, real estate, or enrolment advice. You must independently verify any information before relying on it.

4.2 Decisions about schooling and where you live are significant personal decisions and are made entirely at your own risk.

5. Accounts and Access

5.1 Certain features of the Platform require you to create an account. If you do not create an account, you may only access limited features of the Platform that are available without account creation.

5.2 The following features are only available if you create an account:

  • saving schools to a personalised list;
  • creating or editing child profiles or journey tracking;
  • accessing profile settings;
  • accessing the BoundFor dashboard; and
  • purchasing reports.

5.3 When you create an account, you agree to:

  • provide accurate and current information;
  • keep your login credentials confidential; and
  • be responsible for all activities conducted through your account.

5.4 Where you submit data in your account, including addresses or preferences, you grant us a non-exclusive, royalty-free, worldwide licence to use that data for the purposes of operating and providing the Services.

5.5 You must not submit content that:

  • is unlawful;
  • infringes the rights of others; or
  • is harmful or inappropriate.

5.6 We may, at our discretion, suspend or cancel your access to the Platform if you fail to comply with these Terms, or in any other case where the Platform is unavailable.

5.7You may close your account at any time by using the “delete profile” function available on the Platform or by notifying us in writing. Please refer to our Privacy Policy for information on what happens to your personal information after your account is closed.

6. Free Features

6.1 We offer certain features of the Platform free of charge, including but not limited to:

  • school search;
  • school details pages;
  • sample report viewer showing the format of a paid report; and
  • all of the features listed under clause 5.2 except the purchasing of reports, subject to you creating an account.

6.2 The features listed above are non-exhaustive. We may add, remove, or modify free features from time to time at our sole discretion.

7. Paid Features

7.1 In addition to the free features on the Platform, you may purchase access to a range of reports for a fee.

7.2 The applicable fee for reports is based on the type of report and the number of schools within scope of the report you request. Details of the applicable fee for reports will be provided on the Website at the time of purchase. All fees unless otherwise stated are in New Zealand dollars and are inclusive of GST (if any). Our fees may be updated at any time.

7.3 All payments are processed by our third-party provider, Stripe. BoundFor does not process or store your payment card details.

7.4 We may introduce new paid features at any time without notice. Any such additional features will be subject to full payment of the applicable fees as displayed on our Website at the time of purchase.

7.5 Upon successful payment of all applicable fees, the purchased report will be made available to you via browser link which shall be emailed to the email address on the account you make the purchase from. You may access the report for one (1) year from the date of purchase (Report Expiry Date). After the Report Expiry Date, the report will no longer be accessible.

7.6 Except as expressly stated in these Terms or as required by law, all fees paid are non-refundable.

7.7 Reports are provided for personal use only and must not be resold or commercially distributed without our prior written consent, except to the extent permitted by applicable law or third-party licences.

8. Third-Party Data

8.1 Our Services incorporate data obtained from third parties, including from New Zealand government agencies obtained under open licence and third-party application programming interfaces (APIs).

8.2 Certain content made available through the Platform is licensed under the Creative Commons Attribution 4.0 International Licence (CC BY 4.0) or similar open licences. You agree that where content is subject to CC BY 4.0 or similar licences, you must comply with those licences.

8.3Certain features of the Platform and our Services rely on third-party services (including mapping and location-based features which are provided by the Google Maps Platform). Use of any third-party services is subject to the third-party provider’s terms and conditions. Use of the Google Maps features and content is subject to the then-current versions of the Google Maps End User Additional Terms of Service and the Google Privacy Policy. Commute times and related data are calculated in real time via the Google Maps API and are displayed within the Platform for your personal use. Such data is not stored or redistributed outside the Platform or included in downloadable reports, except as permitted by the relevant third-party licence. Required attribution and copyright notices will be displayed as specified by Google. If our use of third-party data changes, we will update these Terms accordingly.

8.4 BoundFor does not sublicense such third party licensed content. Your rights to use that content arise directly from the relevant licensor and are subject to the terms of the applicable licence.

8.5 To the extent reasonably practicable, BoundFor will identify sources of third-party data and indicate where content has been adapted or summarised (including through AI-assisted processes), in accordance with applicable third-party licence requirements.

8.6 Nothing in these Terms restricts your rights under any applicable open licence, including CC BY 4.0. To the extent of any inconsistency, the applicable open licence will prevail in respect of the relevant content.

8.7 Use of third-party data within the Platform and Services does not imply endorsement, approval or recommendation by the applicable licensors of BoundFor, the Platform or the Services.

9. AI-Generated and Adapted Content

9.1 The Platform and Services may include content that has been adapted, summarised or generated using automated or artificial intelligence (AI) tools. Such content:

  • is derived from underlying datasets and sources, including data licensed from third party licensors;
  • may not reflect complete or current information; and
  • may be interpretative and may contain inaccuracies, errors, omissions or outdated content.

9.2 AI-generated and adapted content is provided as an aid to understanding only and must not be relied upon as authoritative when making enrolment, purchasing or relocation decisions.

10. Intellectual Property

10.1 For the purposes of this clause, “Intellectual Property Rights” means all rights in trademarks, rights in domain names, copyright, patents, registered designs, circuit layout, rights in computer software, databases and lists, rights in inventions, confidential information, know-how and trade secrets, operating manuals, quality manuals and all other intellectual property, in each case whether registered or unregistered (including applications for the grant of any of the foregoing) and all rights or forms of protection having equivalent or similar effect to any of the foregoing which may subsist anywhere in the world, including the goodwill associated with the foregoing and all rights of action, powers and benefits in respect of the same.

10.2 Except for third party content subject to an applicable open licence, and to the extent permitted by law, all Intellectual Property Rights in the Platform (including all modifications and updates to the Platform) and content generated through the Services are owned by or licensed to BoundFor.

10.3 Subject to clause 10.5, we grant you a limited, revocable, non-sublicensable, non-transferable, non-exclusive right to access and use the Platform strictly in accordance with these Terms and only for your personal use for the purpose of searching and comparing schools.

10.4 Except as permitted by law or applicable licences, you must not:

  • use, reproduce, duplicate, reverse assemble, reverse engineer, modify, alter, adapt, disassemble, decompile or amend any such Intellectual Property Rights in the Platform or in the outputs of the Services;
  • assert ownership or rights in, or exploit, sell or seek to generate profit from any of our Intellectual Property Rights in and to the Platform; or
  • copy, republish, or distribute any content from the Platform except as permitted by these Terms or any applicable third-party licence.

10.5 For clarity, third-party data included in outputs generated through the Platform remains subject to its original licensing terms, including CC BY 4.0 where applicable.

11. No Warranties

11.1The Platform and Services are provided on an “as is” basis and, except as required by law, without warranty. Without limiting the foregoing and to the fullest extent permitted by law, we do not make any representations about or warrant:

  • the accuracy, correctness, reliability or completeness of any information provided through the Platform or our Services;
  • that your use of, or access to, the Platform will be uninterrupted or free from any errors, omissions or misstatements;
  • that the Platform (or information submitted to or provided in connection with the Platform) will meet your requirements;
  • that the Platform will operate on all types of devices; or
  • that the Platform is secure or will be secure or free from viruses or other harmful code.

11.2 You acknowledge that the Platform is provided over the Internet and mobile networks. We do not accept any responsibility for any inability to use the Platform, or any delay, failure, loss or damage (of any kind) arising from an issue between you and your network or communications provider.

11.3 To the maximum extent permitted by law, all conditions, guarantees or warranties, whether express or implied by statute or otherwise (including any warranty under the Contract and Commercial Law Act 2017) in connection with access to or use of the Platform or Services are expressly excluded.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, we are not liable to you for any direct or indirect loss, including loss of profit, use, revenue, data, savings, business, and/or goodwill, or indirect, consequential or incidental loss or damage, arising under these Terms or in connection with these Terms, your access and/or use of (or inability to access or use) the Website or Platform, nor any information derived from use of the Platform, including for loss incurred as a result of your reliance on information provided in the Platform.

12.2 To the extent our liability cannot be excluded, our total aggregate liability is limited to the amount paid by you (if any) for the relevant Services giving rise to the claim.

12.3 You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, liabilities, losses, settlements, costs and expenses (including solicitor client fees and court costs) which arise out of or relate to:

  • any dishonest, inaccurate, incomplete, fraudulent, negligent, wrongful or unlawful act or omission by you in connection with your use of the Platform; or
  • your breach of these Terms.

12.4 Nothing in these Terms limits or excludes your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

13. Privacy

13.1 To use the Platform, information (including personal information) will need to be input into the Platform. We will always deal with your personal information in accordance with the Privacy Act 2020 and our Privacy Policy. When creating child profiles in your account, you may assign a label and year of birth to that profile for your own reference. You should avoid using real names or any other information that could directly identify a child and BoundFor does not require or request such identifying information. To the extent you do provide identifying information, we will treat that as personal information and deal with it in accordance with our Privacy Policy.

13.2 If you are inputting information to the platform on behalf of another person, you confirm you have obtained the consent of that person to submit their personal information to the Platform on their behalf, and for their personal information to be accessed, used, disclosed and stored, on terms consistent with our Privacy Policy.

14. Cookies

14.1 We use third party cookies or similar tracking technologies on our Website to help us identify you when you access or use the Platform, or to help us improve our Platform. The cookies collect personal information from you, including your IP address and your activities on our Platform. Further information about our use of cookies is set out in our Privacy Policy. By accessing our Platform, you consent to the use of cookies or similar tracking technologies for these purposes.

15. Third-Party Website Links

15.1 The Website contains links to third-party websites. These links are provided for your convenience. We do not control, endorse, or accept responsibility for the content, privacy practices, or availability of any third-party website.

15.2When you click a link to an external website, you leave the Website and the third party’s terms and privacy policy will apply. Consider reviewing those policies before providing any personal information.

16. General

16.1 These Terms and our Privacy Policy constitute the entire agreement between you and us in respect of your access to and use of our Website, the Platform and our Services, to the exclusion of all other agreements, arrangements, understandings, conduct or representations in relation to your use of the same.

16.2 If any provision of these Terms is or becomes invalid or unenforceable, that provision will be deemed deleted from the terms. The invalidity or unenforceability of that provision will not affect any other provisions of the Terms, all of which will remain in full force and effect to the extent permitted by law, subject to any modifications made necessary by the deletion of the invalid or unenforceable provision.

16.3 Any delay or failure to enforce our rights under these Terms does not mean we have waived those rights.

16.4 These Terms will be governed by and construed in accordance with the laws of New Zealand. The courts of New Zealand shall have exclusive jurisdiction in relation to any dispute arising from these Terms.
